Terms and Conditions

TERMS & CONDITIONS

ALL SALES, QUOTATIONS, ORDER CONFIRMATIONS, PURCHASE ORDERS, AND SERVICES PROVIDED BY APEX LAMINATES LIMITED LLC (“APEX LAMINATES”) ARE SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS.

1. PAYMENT & FINANCE CHARGES

Past-due balances are subject to a finance charge of 1.5% per month (18% annually) or the maximum amount permitted by law, whichever is less.

A $25 fee may be charged for each returned or NSF payment, in addition to any other amounts due.

Customer is responsible for reasonable collection costs, including attorney fees and court costs, where permitted by law.

2. TOOLING, SETUPS, SCREENS & CUSTOMER-SPECIFIC MATERIALS

Unless otherwise agreed in writing, all tooling, setups, screens, templates, production files, transfer materials, fixtures, and other production aids created or obtained by Apex Laminates remain the property of Apex Laminates or its suppliers, even when the customer has paid a setup or tooling charge.

Such items will not be released, shipped, or electronically transferred to the customer unless specifically agreed to in writing.

Apex Laminates will generally maintain customer-specific tooling and production materials for one year from their last use. After that period, replacement tooling or setup charges may apply.

Prepaid transfer sheets and similar customer-specific production materials are not guaranteed beyond one year and may be discarded if expired, damaged, obsolete, or unusable.

3. ORDER CONFIRMATION & CUSTOMER APPROVAL

The final Order Confirmation approved by the customer is the controlling “Source of Truth” for the order and supersedes prior emails, phone conversations, purchase orders, tech packs, artwork notes, samples, and other instructions to the extent they conflict.

Only specifications expressly listed or incorporated into the approved Order Confirmation will be manufactured.

Customer is responsible for reviewing all specifications before approval, including dimensions, shapes, construction, materials, colors, graphics, printing methods, packaging, labeling, shipping instructions, and quantities.

Approval may be provided electronically, including by replying “APPROVED.”

Production turnaround does not begin until Apex Laminates receives the required approval and any required deposit, materials, artwork, or other information.

4. CHANGE ORDERS

Changes requested after approval are subject to acceptance by Apex Laminates and may result in:

  • Production delays

  • Additional setup or material charges

  • Additional freight charges

  • Revised pricing

  • A revised production schedule

Change orders include, but are not limited to, product specifications, artwork, stickers, inserts, packaging, quantities, shipping addresses, and split shipments.

5. CLAIMS

Claims for shortages, manufacturing errors, or visibly defective merchandise must be submitted in writing within five (5) business days after receipt.

Claims must include sufficient documentation, photographs, quantities affected, and other information reasonably requested by Apex Laminates.

Failure to report a claim within this period may constitute acceptance of the goods.

Damage occurring during transportation must be reported promptly so that a freight claim can be pursued with the carrier.

6. SHIPPING, TITLE & RISK OF LOSS

Unless otherwise stated in writing, shipments are made EXW / Ex Works from the applicable Apex Laminates facility or shipping point.

Risk of loss transfers to the customer when the goods are tendered to the carrier.

When Apex Laminates arranges freight on the customer’s behalf, it does so as a convenience. Freight charges, accessorial fees, address-correction fees, redelivery charges, storage fees, liftgate charges, residential-delivery charges, customs charges, and other carrier-imposed costs remain the customer’s responsibility unless otherwise agreed in writing.

Carrier liability or insurance may be less than the full value of the shipment. Additional cargo insurance is the customer’s responsibility unless specifically purchased and confirmed in writing.

7. RETURNS

Custom-manufactured goods may not be returned without prior written authorization from Apex Laminates.

No return, credit, or replacement will be issued for merchandise returned without authorization.

Approved returns must be made according to Apex Laminates’ instructions. No claim will be considered more than 30 days after receipt unless otherwise required by law.

8. WARRANTY

Apex Laminates warrants that products will materially conform to the specifications contained in the approved Order Confirmation and will be of commercially acceptable quality when shipped.

Except as expressly stated herein, Apex Laminates makes no other warranty, express or implied, including warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.

Natural variations in wood grain, veneer color, dyed veneer, stain, printing, finishing, dimensions, moisture content, and other characteristics inherent to wood products and custom manufacturing are not considered defects when within reasonable manufacturing tolerances.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Apex Laminates’ total liability arising out of or relating to any order shall not exceed the total amount paid or payable by the customer for that order.

In no event shall Apex Laminates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, lost production, business interruption, or loss of goodwill, even if Apex Laminates has been advised of the possibility of such damages.

Any merchandise claimed to be defective may, at Apex Laminates’ option, be required to be returned or made available for inspection before any credit, replacement, or other remedy is issued.

10. FORCE MAJEURE

Apex Laminates is not responsible for delays or failure to perform caused by events beyond its reasonable control, including fire, flood, natural disaster, utility interruption, equipment failure, labor disruption, transportation delays, customs or border delays, government action, supply shortages, inability to obtain raw materials, war, civil disturbance, epidemic, or similar events.

Production and delivery schedules will be extended as reasonably necessary during such events.

  • Customer-provided specifications or designs;

  • Unauthorized use or resale of products;

  • Claims arising from representations or warranties made by the customer to third parties that were not authorized by Apex Laminates.
